Offering a wide range of renewable energy solutions, they continue to expand their presence in the U.S. To support this growth, they are seeking a seasoned attorney to join their legal team as Head of Legal - U.S., a senior leadership role integral to shaping the future of their U.S. operations.
Position Overview:
The Head of Legal - U.S. will take on a senior leadership role by establishing legal policies, managing all M&A activities, and advising senior leadership on critical business matters. As a key member of the U.S. team, this individual will provide strategic legal guidance while building and leading the U.S. legal function to align with the company's business objectives and regulatory landscape.
Key Responsibilities:
- Strategic Leadership: Define and implement the legal framework for U.S. operations, establishing policies and procedures that align with business goals and industry regulations. Lead the development of the U.S. legal team.
- Collaboration with Leadership: Work closely with senior executives and business teams to assess legal risks and opportunities. Provide targeted training and design tools to mitigate legal risks. Manage relationships with external counsel as required.
- Mergers & Acquisitions (M&A): Oversee M&A legal activities, including due diligence, contract negotiation, and deal execution. Offer strategic insights on legal risks and business opportunities for acquisitions, partnerships, and joint ventures.
- Contract Management: Draft, negotiate, and review key project development agreements, such as Engineering, Procurement, and Construction (EPC) contracts, Equipment Procurement Agreements, and Operations & Maintenance (O&M) contracts. Ensure all contracts comply with company policies and regulatory requirements. Lead the legal aspects of project finance transactions, including structuring and negotiating debt and equity arrangements to support business expansion.
- Regulatory Compliance:. Monitor compliance with relevant federal, state, and local regulations. Advise the business on regulatory matters and assist in securing necessary permits and licenses to support ongoing operations.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a state bar.
- Must have 10+ years of legal experience in the renewable energy/utility sector
- Minimum of 7 years of legal experience with M&A transactions in the renewable energy/utility sector
